Wegagen Capital Investment Bank S.C. (WCIB) is an investment bank in Ethiopia, recently licensed by the Ethiopian Capital Market Authority (ECMA). It is a subsidiary of Wegagen Bank S.C. and is one of the first investment banks to be licensed in the country

Wegagen Capital Investment Bank S.C. is looking for qualified and experienced candidates to fill the following positions:

Position: Company Secretary

Qualifications and Experience

  • Bachelor’s Degree in Law, Business Administration, Corporate Governance, Finance, Management, or a related field.
  • Professional certification in Corporate Governance or Company Secretarial Practice is an added advantage.
  • Six (6) to eight (8) years of relevant professional experience in company secretarial practice, corporate governance, legal, or regulatory compliance roles.
  • Relevant experience in the banking or financial services industry is highly desirable.

  • Strong knowledge of corporate governance principles and company law.
  • Good understanding of financial-sector regulatory and compliance requirements.
  • Excellent report writing, minute-taking, and documentation skills.
  • Strong organizational, coordination, and time-management skills.
  • Excellent written and verbal communication skills.
  • High level of integrity, professionalism, confidentiality, and accountability.
  • Strong analytical and attention-to-detail skills.
  • Excellent interpersonal and stakeholder-management skills.
  • Proficiency in Microsoft Office applications.
  • Ability to work independently and effectively under pressure and meet strict deadlines.

Key Responsibilities

  • Coordinate meetings of the Board of Directors, Board Committees, and General Meetings of Shareholders.
  • Prepare and distribute meeting notices, agendas, Board packs, supporting documents, and other relevant materials.
  • Attend Board and Committee meetings and prepare accurate minutes and resolutions.
  • Maintain records of Board decisions and follow up on implementation of resolutions.
  • Advise the Board and Management on corporate governance principles, statutory obligations, and applicable laws and regulations.
  • Ensure compliance with the Company’s Articles of Association, governance framework, and regulatory requirements.
  • Coordinate Board induction, orientation, and governance training.
  • Ensure timely submission of statutory returns and regulatory reports.
  • Maintain statutory registers, corporate records, Board minutes, resolutions, and other governance documents.

Salary: As per the salary scale of the Investment Bank and attractive benefits.
